Culture Amp Asset Terms

Your use of any Culture Amp materials or content which reference these terms (“Material(s)”) is subject to these Culture Amp Asset Terms (these “Terms”). All rights not expressly granted to you in these Terms are reserved by Culture Amp Pty Ltd (“Culture Amp”). 

By using our Materials, you agree to the following. Headings are included for your convenience only. 

1 Restriction on use

(a) Unless additional rights are granted by a separate written Culture Amp agreement, or license, you may not use Materials for any commercial (third-party sales or service), promotional, advertorial, endorsement, advertising or merchandising purpose. 

(b) The Materials may be used for educational and non-commercial research purposes, provided Culture Amp source material is cited.

(c) You must, and must ensure that anyone you share the Materials with, will only use the Materials in accordance with applicable laws and regulations (including, for example privacy laws or intellectual property laws).

(d) You must not access or utilize the Materials if you are a competitor of Culture Amp. 

(e) You must not access or use the Materials for purposes of monitoring their availability, performance or functionality, or for any other benchmarking or competitive purposes.

(f) You must not remove any Culture Amp trademark, design mark, trade name, business name, service mark, or logo when using the Materials.

2 Full rights retained by Culture Amp

Permission granted by Culture Amp to you to use, reproduce or otherwise deal with this Material is restricted to the countries in which the user operates its business only, is non-exclusive and may be revoked at any time.

3 No false representation of authorship

You may not falsely represent that you are the original creator of any Materials. For instance, you cannot create a survey or blog article based solely on the Materials and claim that you are the author.

4 No use in trademark or logo

You may not use Materials (in whole or in part) as the distinctive or distinguishing feature of a trademark, design mark, trade name, business name, service mark, or logo. 

5 No right to register

You are not entitled to register (in any jurisdiction) any Materials (in whole or in part) as a trademark or rely on any such registrations, prior use, and/or accrued goodwill to prevent any third party use of the Materials or any similar content (including by us, our customers, or the copyright owner of such content).

6 Liability

(a) You assume all liability and responsibility for use of the Materials. 

(b) You agree that Culture Amp will not be liable to you or any third party for any use of the Materials. 

(c) You agree to indemnify and hold us harmless from any claims arising out of your use of the Materials.

The materials are provided by Culture Amp “as is” and any express or implied warranties, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose are disclaimed. Culture Amp takes no responsibility and assumes no liability for the materials.

In no event shall Culture Amp be liable for any direct, indirect, incidental, special, exemplary, or consequential damages however caused on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of the materials, even if advised the possibility of such damage, unless such exclusion of liability is not enforceable under applicable law in which case Culture Amp’s aggregate liability will not exceed USD$1.00.

Additional terms and conditions may appear on the Materials. Any such additional terms and conditions are incorporated into these Terms by reference and are legally binding. Culture Amp may amend these Terms from time to time and the most current version will be posted on Culture Amp’s website.
